Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the RunAIAgents platform, websites, and related services (collectively, the “Service”). The Service is operated by NoDowntime Technologies FZCO, a Free Zone Company established in the United Arab Emirates (“RunAIAgents”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. Your account
You are responsible for safeguarding your account credentials and for all activity under your account. You must provide accurate information and promptly update it. You must be legally able to enter into these Terms in your jurisdiction.
2. Acceptable use
You agree not to misuse the Service, including by attempting to access it through unauthorized means, interfering with its operation, using it to violate any law, or deploying agents that send unlawful, abusive, or infringing content. We may suspend access for conduct that threatens the Service or other users.
3. Your content and your infrastructure
You retain all rights to the agents, prompts, data, and configurations you create (“Your Content”). When you bring your own cloud and your own model provider keys, Your Content and the associated compute remain in infrastructure you control. You grant us only the limited rights needed to operate and provide the Service to you.
4. Third-party model providers
The Service integrates with third-party model providers (such as OpenAI and Anthropic) using keys you supply. Your use of those models is also subject to the providers' own terms, and you are responsible for the usage and charges incurred on your provider accounts.
5. Fees
Paid plans are billed in advance on a recurring basis according to the tier you select. Usage above included limits is billed at the published overage rate for your tier. Fees are non-refundable except where required by law.
6. Availability and changes
We work to keep the Service available and may modify or discontinue features over time. Service-level commitments, where offered, are set out in your plan. We may update these Terms; material changes will be communicated and continued use constitutes acceptance.
7. Self-serve tool; the agents you build are yours
RunAIAgents is a self-serve tool. You design, configure, test, and operate your own agents, and you decide what data they access, which model providers they use, what tools and integrations they call, and what actions they are permitted to take. We provide the platform; we do not build, supervise, review, endorse, or control your agents or their output.
Because AI systems are probabilistic, agent output can be inaccurate, incomplete, or unexpected, and agents can take actions with real-world consequences. You are solely responsible for your agents and for everything they produce or do, including reviewing their output before relying on it, testing before deploying, using human-in-the-loop approvals for consequential actions, and complying with all laws and third-party terms that apply to your use. You assume all risk arising from the agents you build and run. We are not a party to, and accept no responsibility for, the decisions your agents make or the results you obtain from them.
8. Disclaimers and liability
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, to the extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty as to the accuracy, reliability, or suitability of agent output. We do not warrant that the Service or any agent will be uninterrupted, error-free, or produce any particular result.
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to the Service or the agents you build and run — including any action taken by an agent — even if advised of the possibility. To the maximum extent permitted, our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve months preceding the claim.
9. Indemnity
You agree to defend, indemnify, and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from the agents you build or operate, your data, your use of the Service, or your violation of these Terms, third-party terms, or applicable law.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. Upon termination, your right to use the Service ends, though provisions that by their nature should survive will survive.
11. Suspension
We may suspend or limit access to the Service, in whole or in part, to protect the Service, other users, or third parties, including where we suspect a breach of these Terms, a security risk, or non-payment. Where practical, we restore access once the underlying issue is resolved.
12. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-laws principles. Before filing any claim, you agree to contact us and negotiate in good faith to resolve the dispute. If we cannot resolve a dispute informally, it will be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.
