End User License Agreement (EULA)

The RunAIAgents service is operated by NoDowntime Technologies FZCO ("RunAIAgents", "we", "us", or "our"). This EULA governs your license to use the RunAIAgents software and works alongside our Terms of Service, which govern your overall use of the service. By accessing or using RunAIAgents, you accept both documents.

1. License Grant

Subject to your compliance with this EULA and your subscription plan, NoDowntime Technologies FZCO grants you a limited, non-exclusive, non-transferable, revocable license to access and use the RunAIAgents software and service for your internal business purposes, in accordance with the features and usage limits of your plan.

2. Restrictions

You may not: reverse-engineer, decompile, or disassemble the software, except where applicable law expressly permits; resell, sublicense, or redistribute the software or service without our written consent; circumvent or attempt to circumvent usage limits, rate limits, or plan restrictions; use the service to build, train, or operate a competing product; or use the service for any unlawful or abusive purpose. 3. Ownership / Intellectual Property

The RunAIAgents software, platform, and all related intellectual property remain the exclusive property of NoDowntime Technologies FZCO. This EULA does not transfer any ownership rights to you. You retain all rights to the agents, prompts, workflows, and data you create using the service ("Your Content").

4. Your Agents & Content

RunAIAgents is a self-serve tool for building and running autonomous AI agents. You are solely responsible for the agents you build, the configurations you choose, and the output and actions those agents take.

5. Third-Party & Model Providers

The service integrates with third-party AI model providers (such as OpenAI and Anthropic) and other connectors, which are subject to their own terms of service. If you bring your own API keys (BYOK), you are using your own accounts with those providers and are responsible for complying with their terms and for any charges they impose.

6. Updates

We may update, patch, or modify the software from time to time to improve functionality, security, or performance. This license covers such updates unless we state otherwise at the time an update is released.

7. Warranty Disclaimer

THE SOFTWARE AND SERVICE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT AGENT OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

To the maximum extent permitted by law, our liability under this EULA is subject to the limitation of liability set out in our Terms of Service.

9. Termination

This license terminates automatically if you breach any term of this EULA or if your account is terminated. Upon termination, you must immediately stop using the software.

10. Governing Law

This EULA is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. We will first attempt to resolve any dispute through good-faith negotiation; unresolved disputes are subject to the exclusive jurisdiction of the competent courts of Dubai, UAE.
